    Abstract [en]

    In today’s knowledge-based global economy, most inventions are made by employed persons through their employers’ research and development activities. However, methods of establishing rights over an employee’s intellectual property assets are relatively uncertain in the absence of international solutions. Given that increasingly more businesses establish entities in different countries and more employees co-operate across borders, it becomes essential for companies to be able to establish the conditions under which ownership subsists in intellectual property created in employment relationships in various countries.

    This comparative law publication describes and analyses employers’ acquisition of employees’ intellectual property rights, first in general and then in depth as manifested in 33 jurisdictions worldwide. The book was developed within the framework of the International Association for the Protection of Intellectual Property (AIPPI), a non-affiliated, non-profit organization dedicated to improving and promoting the protection of intellectual property at both national and international levels. Among the issues and topics covered by the 49 distinguished contributors are the following:

    • different approaches in different law systems;
    • choice of law for contracts;
    • harmonizing international jurisdiction rules;
    • conditions for recognition and enforcement of foreign judgments;
    • employees’ rights in copyright, semiconductor chips, inventions, designs, plant varieties, and utility models on a country-by-country basis;
    • employee remuneration right;
    • parties’ duty to inform; and
    • instances for disputes.

    With its wealth of information on an increasingly important subject for practitioners in every jurisdiction, this book is sure to be put to constant use by corporate lawyers and in-house counsel everywhere. It is also exceptionally valuable as a thorough resource for academics and researchers interested in the international harmonization of intellectual property law.

    Abstract [en]

    In recent years, third-party funding has emerged in international commercial arbitration and investment treaty arbitration, and led to a heated discussion. Third-party funding, usually a third-party funder (investment banks or venture capital companies) provide the arbitration cost to the funded party, and get return from the award if the party win the case. In contrast to international commercial arbitration, the jurisdiction of international investment arbitration is based on international investment treaties between states, and investors may initiate arbitration on the basis of the investment treaty between the host country and its home country, thus seeking substantial compensation from the host country. In recent years, investment arbitration cases have increased a lot,1 and the amount of the subject is usually millions of dollars.2 It is in this context, investment arbitration requests quickly become an investment product and profit-taking tool for third-party funding.3 Investors may be reluctant to initiate investment arbitration because of the cost of arbitration and the risk of losing case, and third-party funding will finance the investor with arbitration fees.

    Den sakrättsliga specialitetsprincipen har aldrig tidigare ägnats en monografisk undersökning i svensk rättsvetenskaplig forskning. I denna bok genomförs en analys av specialitetsprincipens innebörd inom ramen för svensk reglering om borgenärsskydd. Nya frågor och nya svar presenteras. Som en del av utredningen underställs även traditionsprincipen och andra principer om krav på sakrättsliga moment en förnyad analys, med andra resultat än de som hittills har frambringats i den rättsvetenskapliga diskussionen.

    Rättsförhållanden som behandlas är framför allt sådana som traditionellt brukar omtalas i termer av köp, säkerhetsöverlåtelse eller panträttsupplåtelse. Härutöver omfattar boken en noggrann undersökning av rättsförhållanden vid deposition, konsignation, återtagandeförbehåll, fullmakt och kommission. Författarens målsättning är att bidra till en precisering av gränserna för en kontrahents prioritet i förhållande till sin medkontrahents allmänna borgenärer.

    This study has two purposes. First, it intends to clarify to what extent there is a right of direct action in Swedish law. Second, it attempts to establish the implications of different rules governing the direct action claim.

    The concept of direct action is used where the following conditions are fulfilled. (1) A creditor (C) is entitled to make a claim against his debtor's (D's) debtor, or the debtor of his debtor's debtor etc., or both, (against DD). (2) C's right remains the same where D (or an intermediary party) goes bankrupt or a seizure is made of the relevant claim against DD. (3) C's claim against DD does not exceed his claim against D. (4) C's claim against DD does not exceed D's (or an intermediary party's) claim against DD, or the claim that D (or an intermediary party) would have had against DD, if there had been no excuses from liability. (5) DD's performance to C will entail a corresponding reduction of C's claim against D. (6) C's right to bring action against DD is independent of (other) recognisedprinciples of law.

    Analyses are made of cases where D has concluded a transaction with C on DD's behalf but in his own name or without authority, and cases where DD has, in a contract with D, assumed an obligation, which is closely linked to D's obligation towards C. The study also includes cases where a breach of contract by DD has caused a breach of contract by D against C, and cases where DD's tortious act (or omission) or breach of contract against D has caused consequential loss to C.

    Vilken betydelse, för en borgenärs rätt att begära en gäldenär i konkurs, har gäldenärens borgensåtagande för tredje mans skulder till borgenären? I mål Ö 3182-12 skingrades en del av frågetecknen kring denna problematik.

    HD fann i målet att betryggande pant som har ställts av tredje man innebär att borgensåtagandet inte ska beaktas när borgenärens fordran mot gäldenären beräknas. Frågan om borgenären har betryggande säkerhet för sin fordran, vilket utgör hinder mot konkurs, ska i denna situation besvaras utan hänsyn till borgensåtagandet, till och med om borgen är ställd såsom för egen skuld. Rättsfallet innebär en utvidgning av konkurshindrens räckvidd, då hinder mot konkurs normalt förutsätter att det är egendom tillhörig gäldenären som säkrar borgenärens fordran (se 2 kap.10 §konkurslagen).

    Utöver det anförda slog HD fast att gäldenären har bevisbördan för de omständigheter som kan göra att borgenärens säkerhet för konstaterade fordringar ska anses betryggande. Ett relativt lågt beviskrav gäller dock enligt uttalanden av HD.

    Abstract [sv]

    I NJA 2013 s. 632 prövas om en dold samäganderätt till fast egendom kan preskriberas enligt preskriptionslagen. I det följande ifrågasätts om inte avgörandets prejudicerande verkan, trots att Högsta domstolen nog hade större ambitioner, är begränsad till fall där den dolda ägaren grundar sitt anspråk på att hans eller hennes överlåtelse av en samäganderättsandel i fastigheten har skett endast för skens skull. En sådan skenöverlåtares rätt till fastigheten kan enligt avgörandet inte bli föremål för preskription. Vad som gäller vid andra typer av dold samäganderätt kan däremot betraktas som en öppen fråga även efter förevarande prejudikat.
