The implementation of Markets in Financial Instruments Directive (MiFID) in 2005 has affected the private advisers work in general. These rule changes was the initiation of several changes in the banking industry and a major focus was on business ethics and ethics in the advising situation. The purpose of this study was to try to determine what affects the private adviser in the process of ethical issues in an advising situation. The overall survey character was a qualitative case study based on an operator approach. The theoretical framework became to consist of institutional theory, agency theory and ethical theory. These areas depict both how different factors are going to bring forth changes at the individual level by means of regulation, as well as how the adviser is affected by conflicts of interest and information asymmetry. The empirical material consists of reports of the nine interviews that we conducted with private advisers from the four major banks in Sweden; Swedbank, Nordea, SEB and Handelsbanken. The empirical data also consists of a textual analysis of the banks' official code of ethics and of MiFID. The empirical data have shown that private advisors have adopted the ethical dimension seriously and generally are in favour of the implemented changes. By applying the theory of key messages by using the collected empirical data, we conducted an analysis to clarify the problem issue. We have been able to identify that the process of bringing about a more ethical industry, through the use of regulations to govern the private advisers ethical dimentions has been satisfactory, while there still are some areas of improvement. This depends largely on the fact that regulations are not dynamic by nature and because of their bureaucratic form takes time to make adjustments in the regulations.
